Please read this Agreement carefully. 

Welcome to Buri Technologies, Inc. ("Supplier").

This Agreement includes these Terms and Conditions ("Agreement") and applies to the use of the services offered by Buri Technologies, Inc. By accessing or using the website and services provided by the Supplier, the user ("Customer" or "you") agrees to be bound by the terms and conditions of this Agreement. The Customer confirms that they have the authority to bind their organization or entity to this Agreement. If the Customer lacks such authority or does not agree with all the terms and conditions of this Agreement, they must not accept it and will not be granted any rights to use the services offered by the Supplier. Registration by automated methods, such as bots, is strictly prohibited. The Supplier’s acceptance of this Agreement is expressly conditioned upon the Customer’s acceptance of all its terms and conditions, to the exclusion of any other terms. Acceptance of this Agreement is expressly limited to these terms and conditions.

Buri Technologies, Inc. may update this Agreement from time to time. By continuing to use the Platform and the Services after updates are posted, the Customer accepts the updated terms in their entirety. All updates are effective upon posting.

1. Definitions

  • “Agreement”: Refers to these Terms of Use, the Privacy Policy, and any additional policies, terms, conditions, or agreements provided by us in relation to the Services, which you accept while using any of the Services.

  • "Service": The online learning management system provided by Buri Technologies, Inc., including all features, applications, content, and services offered by Buri Technologies, Inc..

  • "User": Any individual, entity, or organization that has been granted a license or other rights to access or utilize any Course(s), either for personal use or on behalf of a third party.

  • "Content": Any text, graphics, videos, files, software, or other materials uploaded, downloaded, shared, or displayed on the Service.

  • "Account": The personalized account created by the User to access and use the Service.

  • "Company": Refers to Buri Technologies, Inc., its subsidiaries, affiliates, directors, officers, employees, and agents.

  • You or your: Refers to any person visiting, accessing, or using the Services, including any company or legal entity or organization.

2. Acceptance of Terms

By accessing or using the Service, Users confirm that they have read, understood, and agree to be bound by these Terms. If Users do not agree to these Terms, they must not use or access the Service.

3. Access to the Services

3.1 About the Services Buri Technologies, Inc. provides comprehensive e-learning content creation services tailored to meet the specific needs of its customers. These services include course design, instructional design, and related services, utilizing tools such as Articulate for creating interactive slides to enhance learner engagement.

3.2 License Grant Subject to compliance with these Terms, including payment obligations, Buri Technologies, Inc. grants Users a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Services solely in accordance with these Terms..

3.3 Restrictions Users agree not to:

  1. Reverse engineer, disassemble, or decompile the Services.

  2. Modify, translate, copy, or create derivative works of the Services.

  3. Make the Services available to anyone other than yourself or your authorized users.

  4. Sell, resell, license, sublicense, distribute, rent, or lease the Services.

  5. Attempt to gain unauthorized access to any part of the Services.

  6. Use the Services for benchmarking, competitive analysis, or creating a competing product.

  7. Use the Services to violate third-party rights or applicable laws.

3.4 User Access Users are responsible for obtaining the necessary software, hardware, and internet connectivity to use the Services. Buri Technologies, Inc. reserves the right to change access requirements at any time without prior notice. The Company will use commercially reasonable efforts to make the Services available, subject to planned downtime and unscheduled emergency maintenance

3.5 Control of the Services Buri Technologies, Inc. retains sole control over the operation, provision, maintenance, and management of the Services. The Company may change or discontinue any part of the Services at any time.

4. Privacy Policy and Eligibility

4.1 Privacy Policy The Privacy Policy, describing how Buri Technologies, Inc. collects, uses, and discloses personal information, is incorporated into these Terms by reference. By using the Services, Users consent to the collection and use of personal information as described in the Privacy Policy.

4.2 Eligibility Users must be at least 18 years of age to use the Services. Users between 16 and 18 years of age may only use the Services with parental or guardian consent. By using the Services, Users represent and warrant that they have the right, authority, and capacity to enter into these Terms and to abide by all terms and conditions set forth herein.

5. Proprietary Rights

5.1 Buri Technologies Ownership Buri Technologies, Inc. owns all rights, title, and interest in the Services, including all related technology and intellectual property rights. Users obtain no rights under these Terms from Buri Technologies, Inc. or its licensors to the Services, including any related intellectual property rights.

5.2 Customer Content Users retain ownership of all content provided to Buri Technologies, Inc. for use in the Services ("Customer Content"). Users grant Buri Technologies, Inc. the right to host, use, and process Customer Content to provide and improve the Services. Users represent and warrant that they have the necessary rights to grant these rights.

5.3 Deliverables Subject to compliance with these Terms, Users own all rights, title, and interest in the deliverables created for them, excluding any pre-existing content owned by Buri Technologies, Inc. ("Buri Content"). Users grant Buri Technologies, Inc. a limited license to use the deliverables to provide the Services.

5.4 Buri Content Buri Technologies, Inc. grants Users a limited license to use Buri Content as part of the deliverables. Users may not use Buri Content on a stand-alone basis or for any purpose not permitted by these Terms. Buri Technologies, Inc. retains ownership of all Buri Content.

6. User Accounts

6.1 Account Creation To use certain features of the Services, Users must register for an account. Users agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

6.2 Account Responsibilities Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Users agree to notify Buri Technologies, Inc. immediately of any unauthorized use of their account. The company is not liable for any loss or damage arising from Users’ failure to secure their accounts.

7. Content and Data

7.1 Accuracy of Content Buri Technologies, Inc. strives to provide accurate and up-to-date content but makes no warranties or representations about the accuracy, completeness, or timeliness of the content. The Company is not liable for any errors or omissions or for any loss or damage resulting from reliance on its content.

7.2 Customer Data Buri Technologies, Inc. will use commercially reasonable efforts to maintain the security of data provided by Users. However, the Company cannot guarantee that unauthorized third parties will never be able to defeat its security measures or use Users’ data for improper purposes.

8. Third-party Links and Content

8.1 Third-Party Links The platform may contain links to third-party websites or services not owned or controlled by Buri Technologies, Inc. The Company is not responsible for the content, privacy policies, or practices of any third-party websites or services. Users’ use of third-party websites or services is at their own risk.

8.2 Third-Party Providers Buri Technologies, Inc. utilizes third-party providers, such as Getzendo, for various aspects of the platform. These third-party providers may change over time. While the company selects third-party providers carefully, it does not control their operations and cannot guarantee their performance. The use of the Services is subject to the terms and conditions of these third-party providers, and Buri Technologies, Inc. is not liable for any issues arising from their services.

9. Fees and Refunds

9.1 Fees Users agree to pay all fees associated with the Services in accordance with the pricing and payment terms specified on Buri Technologies, Inc.'s website or in the order form. All fees are non-refundable, except as expressly provided in these Terms or required by applicable law..

9.2 Changes to Fees Buri Technologies, Inc. reserves the right to change its fees at any time. The company will provide Users with reasonable notice of any fee changes. Continued use of the Services after a fee change becomes effective constitutes Users’ agreement to pay the changed amount.

9.3 Refund Policy Refunds are only provided under specific conditions outlined in the refund policy. Users should refer to the refund policy for detailed information.

10. Work and Delivery Output

10.1 Request Volume and Complexity Buri Technologies, Inc.'s output volume depends on the volume and complexity of the requests it receives. While Buri Technologies strives to accommodate priority items, it does not guarantee time-sensitive requests. Buri Technologies will make reasonable efforts to meet deadlines, but delays may occur.

10.2 Quality Assurance Buri Technologies implements rigorous quality assurance processes to ensure that the deliverables meet the customer's specifications and standards. However, the customer is responsible for reviewing and approving the final deliverables.

11. Acceptable Use Policy

11.1. Acceptable Use Policy Customers may not use the Services for any unlawful, threatening, libelous, defamatory, obscene, scandalous, or profane purposes, or any other purposes that could give rise to civil or criminal liability under applicable law.

12. Suspension and Termination

12.1 Suspension of Services Buri Technologies may suspend a customer's access to the Services if it determines, in its sole discretion, that the customer has violated these Terms or that their use of the Services poses a security risk or could have an adverse impact on the Services or other users.

12.2 Termination of Services Buri Technologies may terminate a customer's access to the Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, the customer’s right to use the Services will immediately cease.

13. Changes to Terms

Buri Technologies may revise these Terms at any time by posting an updated version on its website. By continuing to use the Services after changes are made, customers agree to be bound by the revised Terms. It is the customer’s responsibility to review these Terms periodically.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law principles.
